1. Agreement to Terms
These Terms of Service ("Terms") constitute a legal agreement between you and Beijing Huoli Science And Trade Co., Ltd ("Company", "We", "Us", "Our"). By accessing, downloading, or using any of our services, applications, or website, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

- Project operation and management services
- Research and development services
- Technical support and maintenance services
- Proprietary application and game offerings
3. User Responsibilities
You agree to:
- Provide accurate and complete account information
- Maintain the confidentiality of your account credentials
- Use our services only for lawful purposes
- Not engage in unauthorized access or disruption of services
- Not transmit malware, viruses, or malicious code
- Respect intellectual property rights of the Company and others
- Not engage in harassment, defamation, or illegal activities
4. Intellectual Property Rights
All content, including but not limited to software, graphics, text, images, and animations, is the exclusive property of Beijing Huoli or its licensors. Unauthorized reproduction or distribution is prohibited. Users retain rights to any original content they create within our services, subject to license grants to the Company for operational purposes.
5. Payment and Billing
For paid services and in-app purchases:
- Prices are subject to change with notice
- All transactions are processed securely
- Subscriptions auto-renew unless cancelled before renewal date
- Refund policies comply with app store guidelines and applicable law
- You are responsible for all taxes associated with purchases
- Billing disputes must be reported within 30 days
6. Account Termination
The Company reserves the right to terminate or suspend your account for:
- Violation of these Terms
- Illegal activities or content
- Harassment or violating others' rights
- Non-payment or billing fraud
- Abuse of company resources
Upon termination, your access to services and stored data may be revoked, subject to legal retention requirements.
7. Disclaimers and Limitations
Our services are provided "as is" without warranties of any kind, express or implied, including:
- Merchantability and fitness for a particular purpose
- Non-infringement of third-party rights
- Uninterrupted or error-free operation
- Loss or corruption of data
The user assumes all responsibility for data backup and security.
8. Limitation of Liability
To the maximum extent permitted by law, Beijing Huoli shall not be liable for:
- Any indirect, incidental, special, or consequential damages
- Loss of data, revenue, or profits
- Damages from unauthorized access or third-party interference
- Service interruptions or failures beyond reasonable control
Total liability shall not exceed the amount paid by user in the prior 12 months or $100, whichever is greater.
9. Indemnification
You agree to indemnify and hold harmless Beijing Huoli from any claims, damages, or expenses resulting from:
- Your violation of these Terms
- Your violation of applicable laws
- Content you provide or create
- Infringement of third-party rights through your use of services
10. Third-Party Services and Content
Our services may contain links to third-party websites and services. We are not responsible for:
- Content, accuracy, or practices of third-party services
- Availability or functionality of external links
- Privacy policies of linked websites
Use of third-party services is at your own risk and subject to their terms.
11. Compliance with App Store Requirements
Applications distributed through app stores comply with:
- Apple App Store: App Store Review Guidelines, including content policies, functionality requirements, and child protection
- Google Play Store: Google Play Policies, including app safety, user privacy, and monetization guidelines
- Other Stores: Respective policies of alternative app distribution platforms
12. Age Restrictions
Use of certain services requires:
- Users must be 13+ (or older if required by local law)
- Users under 18 must have parental consent
- Age-restricted content compliance with rating systems (ESRB, PEGI, etc.)
- Compliance with children's protection laws
13. Monetization and Advertising
Our services may include:
- In-app advertisements from multiple networks
- In-app purchase opportunities
- Third-party tracking for analytics and advertising
- User data sharing with monetization partners as permitted by privacy law
Users can manage ad preferences through device settings where available.
14. Data Collection and Analytics
We collect data for:
- Service improvement and optimization
- User experience analysis
- Crash reporting and debugging
- Analytics and performance metrics
Data collection complies with the Privacy Policy and all applicable regulations.
15. Dispute Resolution
Disputes shall be resolved through:
- Good faith negotiation between parties
- Mediation services if direct resolution fails
- Arbitration or litigation as permitted by applicable law
Jurisdiction shall be determined by user's location and applicable law.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of the People's Republic of China, without regard to conflict of law principles. For international disputes, applicable regional regulations (GDPR for EU, CCPA for California, etc.) shall apply concurrently.
17. Business Partnership Models
Beijing Huoli offers multiple business engagement models tailored to partner needs and strategic objectives:
Project Operation Partnership
- Scope: Full project lifecycle management from conception to market deployment
- Client Responsibilities: Provide project vision, initial funding, intellectual property rights
- Company Responsibilities: Project planning, execution, team management, quality assurance, market deployment
- Revenue Sharing: Fixed fees, milestone-based payments, or profit-sharing arrangements as negotiated
- Timeline: Project-dependent, typically 3-12 months
- Post-Launch Support: Operations management, updates, user support included in extended contracts
R&D Development Partnership
- Scope: Custom research, development, and technical implementation services
- Client Responsibilities: Define requirements, provide specifications, verify deliverables
- Company Responsibilities: Design, development, testing, documentation, support during integration
- Intellectual Property: Work-for-hire arrangement; client retains full IP rights to development work
- Pricing Model: Time-and-materials, fixed-price projects, or recurring retainer arrangements
- Quality Assurance: Comprehensive testing, bug fixes, and optimization included
Proprietary Project Co-Development
- Scope: Joint development of in-house applications and games with monetization focus
- Revenue Sharing: Collaborative revenue models with negotiated profit distribution
- IP Rights: Joint ownership with defined percentages and usage rights
- Marketing & Distribution: Company manages marketing, app store deployment, user acquisition
- Operations: Company handles ongoing operations, user support, updates
- Duration: Long-term partnership with ongoing revenue generation
Strategic Investment Partnership
- Scope: Investment in Company equity or revenue-sharing based on company performance
- Investment Types: Financial investment, technical resources, market access
- Returns: Dividend payouts, equity appreciation, or percentage of company profits
- Governance: Board representation for significant investors
- Vesting Schedule: Typically 3-5 year vesting with standard acceleration clauses
Agency/Reseller Partnership
- Scope: Reselling Beijing Huoli services to third parties with commission structure
- Commission: 15-30% of project value depending on volume and service type
- Support: Marketing materials, technical training, customer support coordination
- Territory: Exclusive or non-exclusive regional or market segments
- Performance Requirements: Minimum quarterly/annual sales targets
Partnership Agreement Requirements
- Detailed Statement of Work (SOW) specifying deliverables and timelines
- Defined payment schedule and financial terms
- Intellectual property ownership and licensing arrangements
- Confidentiality and non-compete clauses as applicable
- Mutual liability limitations and insurance requirements
- Change request procedures and additional scope pricing
- Termination conditions and wind-down procedures
18. Legal Dispute Resolution & Procedures
We establish clear, fair procedures for resolving legal disputes and protecting all parties' interests:
Dispute Resolution Hierarchy
- Level 1 - Informal Negotiation (Days 1-14): Direct communication between authorized representatives to resolve issues in good faith
- Level 2 - Formal Escalation (Days 15-30): Written escalation to senior management with detailed documentation of dispute
- Level 3 - Mediation (Days 31-60): Engagement of neutral third-party mediator agreed by both parties
- Level 4 - Arbitration/Litigation: Final resolution through arbitration or legal proceedings as appropriate
Dispute Documentation Requirements
- Written notice of dispute including specific issues and requested remedies
- Supporting documentation (contracts, communications, evidence)
- Calculation of damages claimed with itemized breakdown
- Good faith attempts to resolve documented before escalation
Mediation Provisions
- Neutral mediator selected from mutually agreed mediator list
- Mediation sessions conducted within 30 days of request
- Costs split equally between parties unless otherwise agreed
- Mediation results remain confidential and inadmissible in subsequent litigation
- Good faith participation required from both parties
Arbitration Terms (if chosen)
- Arbitrator Selection: Single arbitrator for disputes under RMB 1,000,000; three arbitrators for larger disputes
- Arbitration Body: Beijing Arbitration Commission or International Chamber of Commerce (ICC) for international disputes
- Language: English for international disputes, Chinese for domestic disputes
- Award Timeline: Final award issued within 180 days of arbitration commencement
- Enforcement: Award binding on both parties under UN Convention on Recognition and Enforcement of Foreign Arbitral Awards
Litigation Procedures
- Primary Jurisdiction: Courts of Beijing for domestic disputes
- International Jurisdiction: Courts where defendant is located or where cause of action arose
- Legal Representation: Both parties entitled to legal counsel
- Trial Period: Court proceedings typically 6-18 months depending on complexity
- Appeals: Right to appeal first instance judgment to appellate court
Damages & Remedies
- Actual Damages: Compensation for direct losses including cost of rework, revenue loss
- Consequential Damages: Limited unless directly caused by breach with foreseeability
- Specific Performance: Court may order completion of obligations for Material Breach
- Injunctive Relief: Available for IP violations, confidentiality breaches
- Limitation Cap: Total liability limited to amounts paid in preceding 12 months or contract value, whichever is greater
Special Considerations for Different Markets
- China-China Disputes: Governed by Chinese law, Beijing courts have jurisdiction
- EU/International Disputes: GDPR and regional regulations apply; ICC arbitration preferred
- US Disputes: California law for non-COPPA matters; New York law for financial contracts
- Other Markets: Local laws apply concurrently with Beijing Huoli standard terms
Intellectual Property Dispute Resolution
- IP disputes expedited through specialized IP arbitration procedures
- Expert technical assessment included in arbitration
- Provisional measures available to prevent irreparable harm
- Licensing disputes subject to negotiated resolution before litigation
Payment Dispute Procedures
- Invoice disputes must be raised within 30 days of invoice date
- Undisputed portions remain due while dispute is resolved
- Late payment interest: 0.05% per day or maximum legal rate, whichever is lower
- Partial payment does not constitute acceptance of invoice terms
Confidentiality During Dispute
- Mediation and negotiation discussions remain confidential
- Disclosed documents deemed confidential during resolution process
- Public disclosure only permitted with written consent or legal requirement
- Attorney-client privilege and work product doctrine apply
Waiver & Estoppel
- Failure to enforce any term does not constitute waiver of that term
- Acceptance of partial performance does not waive full performance requirement
- Waiver of any breach does not waive subsequent breaches
- Waivers must be in writing and signed by authorized representatives
19. Developer Licensing Agreement
For developers using our development platform or SDK:
- License is limited to non-commercial or authorized commercial use
- You may not reverse engineer, decompile, or modify our SDKs
- Compliance with app store guidelines is required
- Attribution to Beijing Huoli may be required in certain cases
- License is revocable for terms violation
20. Commercial Services Agreement
For commercial service engagements:
- Specific terms and conditions will be outlined in contracts or statements of work
- Deliverables, timelines, and payment terms are project-specific
- Intellectual property ownership determined by contract
- Warranty and support terms subject to service level agreements
21. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be posted with an updated "Last Updated" date. Continued use of services after modifications constitutes acceptance of the updated Terms. We encourage users to review changes regularly.
22. Severability
If any provision of these Terms is found invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it valid, or if not possible, removed. All other provisions remain in effect.
23. Entire Agreement
These Terms, along with the Privacy Policy and any additional agreements with the Company, constitute the entire agreement regarding your use of our services and supersede all prior discussions, understandings, or proposals.
